By downloading or using GeoWhisper, you agree to these Terms of Service. Please read them carefully. If you do not agree, do not use the app.
These Terms of Service ("Terms") govern your use of the GeoWhisper mobile application ("App") operated by GeoWhisper LLC ("we," "us," or "our"). By creating an account or using GeoWhisper, you agree to be bound by these Terms and our Privacy Policy.
We reserve the right to update these Terms at any time. Continued use of the App after changes constitutes acceptance of the updated Terms.
You must be at least 13 years old to use GeoWhisper. By using the App, you represent that you meet this age requirement. If you are between 13 and 18 years old, you represent that a parent or guardian has reviewed and agreed to these Terms on your behalf.
To use GeoWhisper you must create an account using a valid phone number. You are responsible for:
You may not create accounts on behalf of others or use another person's phone number to register.
GeoWhisper allows you to send location-triggered messages ("GeoWhispers") that are delivered to recipients when they physically arrive at a location you specify. By using the App you acknowledge and agree that:
You agree to use GeoWhisper only for lawful, personal, and non-commercial purposes. You may not use the App to:
We take misuse seriously. Violations may result in immediate account suspension or termination.
GeoWhisper is designed to be used between people who know each other and have a mutual understanding that messages may be sent to specific locations. You are solely responsible for ensuring that any person you send a GeoWhisper to has consented to receive location-triggered messages from you.
Using GeoWhisper to track, monitor, or surveil any person without their explicit, informed consent is strictly prohibited and may violate federal and state laws including stalking and surveillance statutes.
You retain ownership of all content you create and send through GeoWhisper, including messages, photos, and other media. By submitting content through the App, you grant us a limited, non-exclusive license to store, transmit, and display that content solely for the purpose of operating and delivering the GeoWhisper service.
We do not claim ownership of your content and will not use it for any purpose beyond delivering your messages.
GeoWhisper™ is a trademark of GeoWhisper LLC, pending registration. GeoWhisper, including its name, logo, design, features, and underlying technology, is owned by GeoWhisper LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the App without our express written permission.
GeoWhisper is provided "as is" without warranties of any kind, either express or implied. We do not warrant that:
Location-based delivery depends on GPS accuracy, device settings, battery level, and other factors outside our control.
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of GeoWhisper, including but not limited to loss of data, missed message delivery, or any harm resulting from reliance on the App for time-sensitive communications.
Our total liability to you for any claim arising from these Terms or your use of the App shall not exceed the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater.
We may suspend or terminate your account at any time, with or without notice, for violations of these Terms or for any other reason at our sole discretion. You may delete your account at any time by contacting us at hello@geowhisper.app.
Upon termination, your right to use the App ceases immediately. We will delete your account data in accordance with our Privacy Policy.
These Terms are governed by the laws of the State of Oregon, without regard to conflict of law principles.
Before filing any formal legal claim, you agree to contact us at hello@geowhisper.app and give us 30 days to attempt to resolve the dispute informally. Most concerns can be resolved quickly this way.
If informal resolution fails, any dispute, claim, or controversy arising from these Terms or your use of GeoWhisper shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration shall take place in Deschutes County, Oregon, or by telephone or video conference at either party's request. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
You agree that any dispute resolution proceedings will be conducted on an individual basis only. You waive any right to bring or participate in any class action lawsuit, class-wide arbitration, or any other proceeding where someone acts in a representative capacity. Claims may not be consolidated with those of any other person or entity without our express written consent.
Either party may seek emergency injunctive or other equitable relief in the state or federal courts of Deschutes County, Oregon to prevent irreparable harm while arbitration proceeds. Nothing in this section prevents either party from reporting issues to relevant regulatory authorities.
If any part of this arbitration agreement is found unenforceable, the remaining parts will continue in full force.
